OUR DISCLOSURES

Please read these Terms carefully before you accept. We draw your attention to:

  • our privacy policy (on our website) which sets out how we will handle your personal information; and
  • clause 12 (Liability) which sets out exclusions and limitations to our liability under these Terms.

These Terms do not intend to limit your rights and remedies at Law, including any of your Consumer Law Rights.

1. Engagement and Term

1.1 These Terms apply from the Commencement Date until the date that is the earlier of:

  • the date set out in the Quote;
  • the date the Services are completed (as reasonably determined by us); or
  • the date on which these Terms are terminated,

(Term).

2. Services

2.1 In consideration of your payment of the Price, we will provide the Services in accordance with these Terms, whether ourselves or through our Personnel.

2.2 If these Terms express a time within which the Services are to be supplied, we will use reasonable endeavours to provide the Services by such time, but you agree that such time is an estimate only.

2.3 All variations to the Services must be agreed in writing between the Parties and will be priced in accordance with any schedule of rates provided by us, or otherwise as reasonably agreed between the Parties. If we consider that any instructions or directions from you constitute a variation to the scope of the Services or our obligations under these Terms, then we will not be obliged to comply with such instructions or directions unless agreed in accordance with this clause.

2.4 Notwithstanding clause 3, you agree that we may vary the Services or the Price at any time, by providing 30 days’ written notice to you (Variation Notice Period) in the following circumstances:

    • where our suppliers increase their prices for, or change the terms relating to any raw materials used in the Services (including but not limited to steel, aluminium and fuel); and
    • any other circumstances beyond our reasonable control.

We may pass on such increases or changes on to you. If you do not agree to any amendment made to the Services or Price, you may, before the end of the Variation Notice Period, terminate these Terms by giving us 30 days’ notice in writing, in which case, the proposed variation will not come into effect and clause 13.3 will apply.

3. Your Obligations

3.1 You agree to (and to the extent applicable, ensure that your Personnel agree to):

  • comply with these Terms, all applicable Laws, and our reasonable requests;
  • provide us with all documentation, information, instructions, cooperation and access reasonably necessary to enable us to provide the Services;
  • not (or not attempt to) disclose, or provide access to, the Services to third parties without our prior written consent; and
  • use, operate, store, maintain and transport the Deliverables strictly in accordance with any instructions or user manuals, guidelines or directions provided or prescribed by us, and any legal loading, speed and coupling requirements applicable to the Deliverables.

3.2 You agree to pay our additional costs reasonably incurred as a result of you failing to comply with this clause 3.

4. Price and Payment

4.1 In consideration for us providing the Services, you agree to pay all amounts due under these Terms in accordance with the Payment Terms.

4.2 Where a deposit is specified in the Quote, to the maximum extent permitted by law, you agree that it is non-refundable and does not limit your obligation to pay the Price in full in accordance with the Payment Terms and this Agreement. You acknowledge and agree that the Deposit is a genuine pre-estimate of our loss and administrative costs in relation to this Agreement.

4.3 If any payment has not been made in accordance with the Payment Terms, we may (at our absolute discretion, and without prejudice to any of our rights or remedies under these Terms or at Law):

  • after a period of 5 Business Days from the relevant due date, cease providing the Services, and recover, as a debt due and immediately payable from you, our reasonable additional costs of doing so (including all recovery costs); and/or
  • charge interest at a rate equal to the Reserve Bank of Australia’s cash rate, from time to time, plus 2% per annum, calculated daily and compounding monthly, on any such amounts unpaid after the relevant due date in accordance with the Payment Terms.

4.4 When applicable, GST payable will be clearly shown on our invoices. You agree to pay us an amount equivalent to the GST imposed on these charges. “GST” has the meaning given in A New Tax System (Goods and Services Tax) Act 1999 (Cth).

5. Delivery, Title and Risk

5.1 Title in the Deliverables (including any additional equipment or materials installed as part of the Services) will only pass to you on the date that you pay the Price in full in accordance with this Agreement.

5.2 You must collect the Deliverables and if applicable, any vehicle supplied by you to us in connection with the Services (Customer Vehicle) from our premises by the date set out in the Quote or as otherwise agreed between the parties. Risk in the Deliverables and Customer Vehicle passes to you upon collection and you will be responsible for the costs of collection. However, where the Services have been completed, and the Deliverables and Customer Vehicle remain on our premises at your request or due to your failure to collect the Deliverables or Customer Vehicle, risk passes to you from the agreed collection date (or, if no collection date is agreed, from the date the Services are completed as reasonably determined by us). To the maximum extent permitted by Law, and subject to clause 6, we exclude all Liability for any loss, damage or deterioration to the Deliverables or the Customer Vehicle occurring after risk has passed to you in accordance with this clause, including where such items remain on our premises.

5.3 Where you provide a Customer Vehicle to us for the purpose of the Services:

    • you warrant and agree that you are the owner of the Customer Vehicle, or that you are otherwise authorised to deliver the Customer Vehicle to us to provide the Services;
    • risk in the Customer Vehicle while it is on our premises and the Services are being performed will remain with you, except to the extent that any loss or damage is caused directly by our negligence or wilful misconduct;
    • you are responsible for ensuring that the Customer Vehicle is in a condition suitable for the Services to be performed, and you agree to pay our additional costs reasonably incurred as a result of any defect, contamination or condition of the Customer Vehicle that was not disclosed to us prior to commencement of the Services; and
    • title in the Customer Vehicle does not pass to us at any time, and nothing in these Terms constitutes a transfer of ownership of the Customer Vehicle.

5.4 You must insure the Customer Vehicle and Deliverables against all damage or loss in the amount of no less than the replacement value of the goods and with a reputable insurance provider. You agree to provide us evidence of such insurance following our reasonable request.

Warranty

6.1 Some Deliverables may come with an express warranty given by us (Warranty). Where a Warranty applies, this will be set out in the Quote. You can also review our Warranty here: ctequip.com.au/warranty/

6.2 The Warranty is separate from, and does not limit or exclude, any rights you may have under your Consumer Law Rights.

6.3 The Warranty is subject to these Terms, and in the event of any inconsistency or ambiguity between the Warranty and these Terms, these Terms will prevail.

6.4 This clause 6 will survive the termination or expiry of these Terms.

  1. Each Party represents and warrants that:
    1. it has full legal capacity, right, authority and power to enter into these Terms, to perform its obligations under these Terms, and to carry on its business; and

10.2 Without limiting this clause 10, you must ensure that:

  • you have collected, used, stored and otherwise dealt with Personal Information in accordance with all Privacy Laws; and
  • we are capable of collecting, using, storing and otherwise dealing with Personal Information, in the manner contemplated by these Terms, without infringing any third party rights or violating any Privacy Laws.

To the extent that you maintain Consumer Law Rights at Law, nothing in these Terms excludes those Consumer Law Rights.

  • neither Party will be liable for Consequential Loss;
  • a Party’s liability for any Liability under these Terms will be reduced proportionately to the extent the relevant Liability was caused or contributed to by the acts or omissions of the other Party (or any of its Personnel), including any failure by that other Party to mitigate its loss; and

  • our aggregate liability for any Liability arising from or in connection with these Terms will be limited to the Price paid by you to us in respect of the supply of the relevant Services to which the Liability relates.

12.2 Without limiting clause 1, to the maximum extent permitted by Law and subject to your Consumer Law Rights, we will not be liable for, and you release us from, any Liability arising directly or indirectly from:
